1. About these terms
These terms apply to your use of the Tranquillo AI website. Services are governed by the written proposal and agreement we provide to you (your “Agreement”). If these terms and your Agreement conflict, your Agreement wins. The website and services are provided by Tranquillo AI (“we”, “us”). By using the website, you agree to these terms. If you don’t agree, please don’t use it. We may update these terms from time to time, and the version posted here applies.
2. Our services
We build and operate AI automations for businesses, including voice agents, lead follow-up, review collection and chat. The details, scope, timeline and price of your services are set out in your proposal. Changes to scope need to be agreed in writing, and may change the price.
3. Fees and payment
Prices on the website are indicative until confirmed in your proposal, and exclude applicable sales and other taxes. Services are billed as a one-time setup fee plus a recurring monthly or annual fee, as set out in your proposal. Setup fees are due after the launch call, when the site and automations go live. Recurring fees are due in advance on the same date each billing period and are charged to the payment method you give us. If a payment fails, we may pause your services after 7 days’ written notice until it is resolved. Third-party costs that are not part of your plan, such as SMS or call usage charges from your own accounts, are your responsibility unless your proposal says otherwise.
4. Term, renewal and cancellation
Services run month to month or annually, with no long-term contract. Your plan renews automatically at the end of each billing period at the then-current price, until you cancel. We will tell you the renewal terms, the price and how to cancel before you pay. To cancel, email joshdembo5@gmail.com at least 7 days before your next renewal date. Cancellation takes effect at the end of your current billing period, and you keep access until then. Setup fees are non-refundable once paid, since the work has already been delivered. Recurring fees already paid are non-refundable, except where we fail to deliver the services we agreed or the law requires a refund. If you pay annually and cancel, your plan simply won’t renew. If we materially change your price, we will give you at least 30 days’ notice so you can cancel first. Either of us may end the Agreement early if the other materially breaches it and doesn’t fix the problem within 7 days of written notice. On cancellation we will give you an export of your website content and lead data within 30 days, and then may delete it.
5. Your content, responsibilities and approvals
You are responsible for the accuracy of the information you give us, and for having the right to give it to us. We will ask you to approve messages, scripts and automations before they are used with your customers. Once you approve them, you are responsible for how they are used within your business. You are responsible for having consent to contact the leads and customers you give us, including consent to calls, texts and emails where the law requires it (such as under the Telephone Consumer Protection Act). You agree not to use our services for spam, fraud, harassment, deception or anything unlawful. We may pause a service that breaks this section.
6. AI, ownership and results
Our systems use artificial intelligence, which can make mistakes, so please monitor your automations reasonably. We do not guarantee any particular business result, such as a number of leads, bookings, reviews or amount of revenue. Outcomes depend on many factors outside our control. You keep ownership of your content, your brand and your customer data. We keep ownership of our underlying tools, templates, prompts and know-how. Once your fees are paid, you may use the finished website and content we created for you. Each of us agrees to keep the other’s non-public business information confidential. How we handle personal information is explained in our Privacy Policy.
7. Liability
Services and the website are provided “as is”, without warranties beyond those stated in your Agreement, to the extent the law allows. To the fullest extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue, data or opportunities. Our total liability for any claim related to the services is limited to the amount you paid us in the three months before the claim arose. Nothing in these terms limits liability that cannot be limited by law, such as liability for fraud, gross negligence or willful misconduct. You agree to defend and indemnify us against claims from third parties caused by your content, or by your contacting people without the consent the law requires.
8. Governing law
These terms are governed by the laws of the State of California, without regard to conflict of law rules. Any dispute will be brought in the state or federal courts located in Los Angeles County, California, and you consent to that jurisdiction. Before filing a claim, each of us agrees to try in good faith to resolve the dispute informally for at least 30 days.
